About

The toolbox is offered as an Office Add-in for Microsoft Excel. It adds a collection of custom functions and a task pane to Microsoft Excel. The custom functions perform calculations and return results much like native functions. The task pane provides a convenient user interface for administering the toolbox.

Acceptable use

You must use the toolbox through an instance of Microsoft Excel that satisfies the system requirements for using the toolbox. You must not use the toolbox through any other application or by any other means.

You must access the toolbox using a Microsoft account that is associated with your identity and connected to your instance of Microsoft Excel. You must not access the toolbox using any other account.

You must not replicate or duplicate any part of the toolbox. You must not reverse engineer any part of the toolbox. You must not bypass or circumvent any security features or technical limitations of the toolbox.

You must not use the toolbox in any way that damages the toolbox or impairs the performance, availability, or accessibility of the toolbox.

You must not use the toolbox in any way that is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful activity.

Server-side functions

Server-side functions are custom functions that perform calculations on our servers as opposed to your device. We define one server-side function call as one invocation of a server-side function on our servers regardless of the outcome of the call.

You may make up to 1,000 server-side function calls per month for free. We will reset your quota of free calls on the first day of each calendar month at midnight UTC. We will not carry forward any unused free calls.

You may purchase the right to make additional server-side function calls. We will deduct calls from your quota of purchased calls when you have fully utilized your quota of free calls. We will not expire any purchased calls.

We will stop you from making server-side function calls when you have fully utilized both your quota of free calls and quota of purchased calls.

Premium functions

Premium functions are custom functions that cannot be used indefinitely without purchase. You must purchase the right to use a premium function indefinitely.

You may request for the right to use a premium function over a one-time free trial period of 7 consecutive days. Your right to use the function will be revoked at the end of the free trial period, unless you purchased the right to use it indefinitely.

Prices and payments

We display our unit prices in United States Dollar and excluding tax. We may change our unit prices from time to time. We may offer discounts and promotions from time to time.

We will display the total price before checkout in a local currency (if supported) and including tax (if applicable), subject to any technical limitations. You must treat the total price before checkout as approximate, but the total price at checkout as final.

We will direct you to our online reseller, Paddle, for checkout. Paddle conducts our order process. Paddle is the merchant of record for all our orders. Paddle provides all customer service inquiries and handles returns.

We will not be responsible for any fees charged by your payment method service provider, including without limitation payment method processing fees, account maintenance fees, and foreign transaction fees.

Refunds

You may request for a refund within 30 days of your purchase. We will not accept refund requests made after 30 days.

We will fully refund any duplicate payments and payments of previously cancelled orders. We will partially refund purchases of additional server-side function calls in proportion to the number of unused calls. We will not refund purchases of premium functions, because we offer free trials of premium functions for prior evaluation.

Right to use

Your right to use a custom function is global, non-exclusive, non-sublicensable, and non-transferable. We may revoke your right to use a custom function, without any refund, if you breach any provision of these terms and conditions.

Your right to use a custom function does not constitute an automatic entitlement to use the function outside of the toolbox, including without limitation versions of the toolbox not intended for Microsoft Excel.

Your right to use a custom function does not constitute an assignment or transfer of any intellectual property rights to you, including without limitation source codes and technical documentations.

No warranty

The toolbox is provided as is, with all bugs, defects, errors, and faults. We make no representations or warranties in relation to the toolbox, and disclaim to the fullest extent permitted by law any and all other representations and warranties, whether express or implied.

Limited liability

We will not be liable to you (whether in contract, tort, or otherwise) for:

• any loss arising from a force majeure event;
• any loss of business, contracts, or opportunities;
• any loss of revenue, profits, or anticipated savings;
• any loss of reputation or goodwill;
• any loss of information or data; and
• any indirect, special, or consequential loss.

We will not be liable to you for any loss arising from unavailability of the toolbox for any reason, including without limitation:

• a fault or failure of the internet or any public telecommunications network;
• a fault or failure of our third-party service providers;
• scheduled or unscheduled maintenance; and
• distributed denial-of-service attacks;

We will not be liable to you for any loss arising from your use of third-party websites accessible from the toolbox.

Nothing in these terms and conditions will limit or exclude:

• any liability for death or personal injury from negligence;
• any liability for fraud or fraudulent misrepresentation; and
• any liability that cannot be limited or excluded under applicable law.

Indemnity

You agree to indemnify us and undertake to keep us indemnified against any and all losses, damages, costs, liabilities, and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute) incurred or suffered by us out of any breach by you of any provision of these terms and conditions.

Amendment

We may revise these terms and conditions from time to time. The revised terms and conditions will apply to the use of the toolbox from the date of publication of the revised terms and conditions. If you do not agree to the revised terms and conditions, you must stop using the toolbox.

Assignment

We may assign, transfer, subcontract, or otherwise deal with any of our rights and/or obligations under these terms and conditions without obtaining your consent or notifying you.

You may not assign, transfer, subcontract, or otherwise deal with any of your rights and/or obligations under these terms and conditions without our prior written consent.

Severability

If a provision of these terms and conditions is determined by any court or any other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.

If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

Entire agreement

These terms and conditions, together with our privacy policy and cookie policy, will constitute the entire agreement between you and us in relation to your use of the toolbox, and will supersede any previous agreements between you and us in relation to your use of the toolbox.

Governing law

These terms and conditions will be governed by and construed in accordance with the laws of Malaysia. Any disputes in relation to these terms and conditions will be subject to the non-exclusive jurisdiction of the courts of Malaysia.
